Welcome to CallProof! These Terms of Use (“Terms”) govern your access and use of our services, including our website (www.callproof.com) and our application (app.callproof.com). By accessing or using our services, you agree to these Terms. If you do not agree, please do not use our services.
1. Definitions
- Service: The CallProof Plus CRM tool and associated features.
- User: Any individual or entity that accesses or uses CallProof Plus.
- Subscription: A paid plan granting access to CallProof Plus services.
2. Overview of Services
CallProof Plus is a Customer Relationship Management (CRM) tool designed to enhance sales and communication management. Our services include lead tracking, activity management, and reporting tools to help businesses optimize their sales processes.
3. Account Registration & Trial Period
To use CallProof Plus, you must create an account. You are responsible for safeguarding your login credentials. If you suspect unauthorized use, please contact support@callproof.com immediately.
- Free Trial: New users may access CallProof Plus with a free 14-calendar-day trial. The trial begins on the day of sign-up. Once the trial period ends, users must provide payment to continue using our services.
4. Pricing, Payments & Billing
Pricing details can be found at callproof.com/plans.
- Users may choose between monthly and annual billing. Annual plans receive a 20% discount.
- Payments cover usage from the start date to the same date of the following month for monthly subscriptions or the same date of the following year for annual subscriptions. For example, a monthly user starting their subscription on 2/5/2025 will have access until 3/5/2025, when they must renew. An annual user starting on 2/5/2025 will have access until 2/5/2026, when the subscription will renew.
- Payments are processed in advance and must be completed through approved payment methods. Autopay is available for user convenience, ensuring uninterrupted service.
- Invoices Exceeding $5,000: Unless written prior agreement has been made, payments for invoices exceeding $5,000 must be made by check to:
4235 Hillsboro Pike, Suite 300 #608, Nashville, TN 37215. - Payment Failure & Service Suspension: If payment fails, access to the service may be suspended until the issue is resolved. Users are responsible for ensuring their payment methods are valid and up to date.
- Subscription Renewal: Subscriptions automatically renew each year unless canceled prior to the creation of the renewal invoice. Invoices are created two weeks before the renewal due date. Cancellation requests must be made before the invoice is generated to avoid being charged for the upcoming period.
5. Prorations & Adjustments
If a user upgrades their plan mid-cycle, prorated charges will apply.
- Removing a user from an annual plan without replacing them does not qualify for a refund of the prepaid amount. Payments made are for access to the service, and actual usage does not impact the refund policy.
6. Refund Policy
CallProof does not grant refunds for any payments collected. Payments are made in exchange for access to the service, and usage of the service does not impact the access or the payment obligation. Once a payment is processed, no refunds will be issued, including for unused portions of the service period.
7. User Conduct
Users agree not to:
- Use CallProof Plus for any illegal or unauthorized purposes.
- Attempt to gain unauthorized access to other accounts.
- Interfere with the proper functioning of the service.
8. Intellectual Property Rights
All software, branding, and content associated with CallProof Plus are the exclusive property of CallProof. Users are granted a limited, non-exclusive license to use the service but may not modify, distribute, or reverse-engineer any part of it.
9. Indemnification
Users agree to indemnify and hold CallProof harmless from any claims, damages, or liabilities arising from their use of the service, violation of these Terms, or infringement of any third-party rights.
10. Termination
CallProof reserves the right to suspend or terminate any account at its sole discretion if a user violates these Terms. Accounts terminated under this provision are not granted a refund for any unused subscription period. Users may also terminate their subscription by following the cancellation process outlined in Section 5.
11. Privacy Policy
CallProof collects and processes user data per our Privacy Policy, available at https://callproof.com/privacy-policy/. By using the service, users agree to these data practices.
12. Third-Party Services
CallProof Plus may integrate with third-party services. We are not responsible for the functionality, security, or data practices of these third-party services. For more information on our API, please visit https://callproofsupport.helpscoutdocs.com/article/139-api-information.
13. Service Availability & Modifications
CallProof strives for 99.9% uptime but does not guarantee uninterrupted service. We aim to perform maintenance outside of normal CST working hours. However, emergent updates may occur, and users will be notified by email as soon as possible. CallProof reserves the right to modify or discontinue features, provided reasonable notice is given to customers.
14. Data Protection & Usage
CallProof complies with applicable data protection laws and does not sell customer data. Customer data may be used to improve service quality and user experience.
15. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the laws of the applicable jurisdiction.
16. Entire Agreement
These Terms, along with any referenced policies, constitute the entire agreement between the parties and supersede any prior agreements or understandings.
17. Limitation of Liability
CallProof Plus is provided “as is” and without warranties of any kind. We are not responsible for indirect, incidental, or consequential damages arising from service use.
18. Governing Law
These Terms are governed by the laws of the applicable jurisdiction where CallProof operates.
